TRAPAY Confidentiality, Non-Disclosure and Restricted Use Terms

1. Scope and Acceptance

These Confidentiality, Non-Disclosure and Restricted Use Terms (the "Confidentiality Terms") apply to every person or entity who accesses, views, uses, registers on, interacts with, tests, integrates with, or otherwise obtains access to:

  • the website https://trapay.uk;
  • any TRAPAY dashboard, portal, admin panel, merchant area, hosted page, payment page, sandbox, demo environment, API environment, documentation portal, developer tools, Telegram bot, support channel, knowledge base, reporting interface, or technical integration materials;
  • any information, materials, software functionality, samples, screenshots, reports, API responses, logs, specifications, or other content made available by TRAPAY,

whether publicly, privately, by invitation, by account registration, by technical integration, by support interaction, by demo access, by trial, by onboarding, or otherwise.

By accessing or using any of the above, You agree to be bound by these Confidentiality Terms. If You do not agree, You must immediately stop using the website and the Service.

These Confidentiality Terms form part of TRAPAY's Terms of Use and apply together with any other applicable policies, agreements, commercial terms, or legal notices published by TRAPAY.

2. Nature of TRAPAY's Services

TRAPAY LTD is a provider of payment software, technical support, technical maintenance, technical integrations, analytics, routing/orchestration tools, fraud-prevention tools, reporting tools, and related technology services.

TRAPAY does not act as a payment service provider, bank, electronic money institution, acquiring bank, or financial institution, and does not itself process, settle, hold, or transfer end-customer funds.

These Confidentiality Terms shall be interpreted in light of TRAPAY's role as a software and technology provider.

3. Confidential Information

For the purposes of these Confidentiality Terms, "Confidential Information" means all non-public, proprietary, sensitive, restricted, internal, commercial, technical, operational, security-related, or trade secret information relating to TRAPAY, its affiliates, partners, merchants, providers, software, business model, operations, and services, whether disclosed directly or indirectly, and whether accessed intentionally or unintentionally.

Confidential Information includes, without limitation:

3.1 Technical information

  • source code, object code, scripts, libraries, APIs, endpoints, schemas, payloads, keys, tokens, secrets, webhooks, SDK information, and technical architecture;
  • system logic, routing logic, failover logic, transaction flows, anti-fraud logic, fingerprinting methods, BIN checks, IP checks, scoring systems, AI-assisted risk logic, and internal technical configurations;
  • test environments, sandbox systems, demo accounts, admin tools, hidden functionality, internal feature flags, implementation details, integration methods, and non-public product behaviour;
  • screenshots, videos, recordings, API responses, logs, samples, and technical reports.

3.2 Product and operational information

  • dashboards, interfaces, workflows, payment pages, documentation, manuals, support materials, internal procedures, maintenance practices, and support processes;
  • product roadmap, upcoming features, internal product strategy, release information, technical change history, and internal product decisions.

3.3 Commercial and business information

  • business model, commercial terms, pricing logic, internal tariffs, support fees, service fee models, discount models, partner conditions, client structures, and business strategy;
  • merchant information, provider information, integration relationships, commercial discussions, operational practices, and non-public market information.

3.4 Provider and partner information

  • names or identities of providers, acquirers, processors, banks, routing partners, fraud vendors, technical vendors, support partners, and related commercial or technical arrangements;
  • provider-specific configurations, conversion data, approval rates, decline patterns, settlement logic, reserve/hold logic, routing performance, and risk assessments.

3.5 Security and compliance information

  • internal controls, fraud thresholds, abuse detection rules, technical restrictions, investigation methods, security incidents, risk assessments, internal compliance processes, and monitoring practices.

3.6 Restricted data

  • personal data, account data, transaction data, device data, usage data, identifiers, customer data, merchant data, support data, or other restricted information made available through the Service.

3.7 Trade secrets

TRAPAY's source code, software architecture, routing systems, anti-fraud logic, analytics, provider relationships, operational processes, technical reporting formats, internal thresholds, and internal commercial structures may constitute trade secrets and proprietary know-how.

4. What You Must Not Do

By using the website or the Service, You agree that You will not, directly or indirectly:

  • disclose, publish, share, copy, distribute, sell, transfer, sublicense, reproduce, forward, post, leak, or otherwise make available any Confidential Information to any third party;
  • use any Confidential Information for any purpose other than legitimate use of the website or the Service as expressly permitted by TRAPAY;
  • use any Confidential Information to compete with TRAPAY or to develop, improve, train, support, design, benchmark, or offer any competing product, service, integration, workflow, routing system, payment tool, fraud-prevention system, merchant dashboard, or software solution;
  • reverse engineer, decompile, disassemble, scrape, inspect, map, trace, monitor, decode, reconstruct, or derive the source code, architecture, business logic, workflows, security controls, provider relationships, fraud rules, technical structure, or internal models of TRAPAY;
  • attempt to discover hidden functionality, private APIs, admin interfaces, private routes, internal identifiers, credentials, provider setups, or unsupported integration methods;
  • use bots, crawlers, automated tools, browser automation, traffic simulation, or similar methods to analyze or extract TRAPAY systems except where expressly allowed by TRAPAY in writing;
  • record, screenshot, download, reproduce, or republish non-public parts of the Service for external use, training, publication, or commercial exploitation;
  • use information obtained from TRAPAY to approach, solicit, onboard, bypass, or otherwise deal directly with any merchant, provider, acquirer, processor, partner, customer, or lead identified through TRAPAY;
  • remove, alter, hide, or bypass confidentiality notices, technical restrictions, access controls, tracking mechanisms, or proprietary notices;
  • use any information obtained through the website or Service for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes;
  • use TRAPAY content, reports, API responses, screenshots, documentation, or technical outputs to train AI systems, LLMs, code generation systems, machine learning models, or external automation tools without TRAPAY's prior written consent.

5. Permitted Use of Information

You may use information made available by TRAPAY only to the extent reasonably necessary to:

  • review TRAPAY's services;
  • evaluate a potential business relationship with TRAPAY;
  • integrate with TRAPAY where authorized;
  • use the Service in accordance with the Terms of Use;
  • obtain support or technical assistance;
  • access Your own account, reports, or service-related information.

No wider right or license is granted.

6. Ownership and Intellectual Property

All rights, title, and interest in and to the website, Service, software, APIs, documentation, dashboards, page designs, system architecture, transaction report formats, anti-fraud logic, integrations, workflows, and all related materials remain exclusively vested in TRAPAY LTD and/or its licensors.

Nothing in these Confidentiality Terms gives You any ownership right, license, or other proprietary right except the limited right to access and use the website and the Service in accordance with applicable terms.

You acknowledge that:

  • TRAPAY's software and operational methods are proprietary;
  • TRAPAY's systems, reporting formats, architecture, logic, and internal materials are protected by copyright, confidentiality, trade secret, database, contract, and other applicable laws;
  • any unauthorized use may cause substantial commercial and irreparable harm to TRAPAY.

7. Confidentiality Obligation

You agree to keep all Confidential Information strictly confidential and to protect it using at least reasonable care and no less than the level of care You use for Your own sensitive confidential information.

If You are a company, You must ensure that access to Confidential Information is limited strictly to those of Your employees, officers, contractors, or advisers who have a genuine need to know and who are bound by confidentiality obligations no less protective than these Confidentiality Terms.

You remain fully responsible for any misuse or disclosure by any person to whom You allow access.

8. Public and Non-Public Areas

Some parts of the website may be public, but this does not mean that all visible or accessible information is public domain or free for reuse.

Even if information is visible through the website, it may still be confidential, proprietary, commercially sensitive, restricted, or protected.

In particular, the following shall always be treated as non-public unless TRAPAY clearly states otherwise:

  • demo or trial access;
  • merchant dashboards;
  • screenshots or outputs from merchant accounts;
  • integration documentation not explicitly published for unrestricted public use;
  • provider names and operational structures;
  • internal support responses, onboarding materials, and reporting formats;
  • technical data displayed in reports;
  • logs, alerts, fraud outputs, or routing data.

9. Security and Incident Notification

If You become aware of any:

  • unauthorized access to TRAPAY systems;
  • misuse of credentials;
  • accidental disclosure of Confidential Information;
  • security issue affecting the Service;
  • leak, breach, scraping, copying, or suspicious extraction of TRAPAY information,

You must promptly notify TRAPAY at info@trapay.uk.

TRAPAY may investigate any activity that appears to threaten the confidentiality, security, integrity, or lawful use of the website or the Service.

10. Legal Disclosure

If You are legally compelled to disclose any Confidential Information, You must, to the extent legally permitted:

  • notify TRAPAY promptly in writing before disclosure;
  • disclose only the minimum required portion;
  • cooperate with TRAPAY in seeking confidential treatment, protective measures, or limitations on disclosure.

11. Return, Deletion, and Cessation of Use

If TRAPAY requests, or if Your use of the Service ends, You must immediately:

  • stop using the Confidential Information;
  • delete or destroy all non-public materials obtained from TRAPAY, including screenshots, copies, extracts, files, reports, documentation, credentials, technical notes, and stored materials;
  • cease any ongoing use of such information.

TRAPAY may require confirmation that such deletion or destruction has been completed.

12. Remedies

You acknowledge that any unauthorized disclosure, misuse, reverse engineering, circumvention, or competitive exploitation of Confidential Information may cause TRAPAY immediate and irreparable harm.

Accordingly, TRAPAY shall be entitled, in addition to any other rights or remedies available under law, to seek:

  • injunctive relief;
  • interim or emergency relief;
  • specific performance;
  • delivery up or destruction orders;
  • damages, costs, and legal fees;
  • any other equitable or contractual remedy available.

13. Survival

Your confidentiality and restricted-use obligations under these Confidentiality Terms shall continue:

  • for as long as You use the website or the Service; and
  • after such use ends, for 5 years in relation to ordinary Confidential Information; and
  • for so long as the relevant information remains confidential or qualifies as a trade secret under applicable law, in relation to source code, system architecture, routing logic, anti-fraud methods, internal commercial structures, provider information, and similar highly sensitive materials.

14. Relationship With Other Terms

These Confidentiality Terms are in addition to, and not in place of:

  • TRAPAY's Terms of Use;
  • Privacy Policy;
  • Merchant Agreement;
  • Acceptable Use Policy;
  • Demo / Trial Terms;
  • API Terms;
  • separate NDA, if signed.

Where a separate written NDA exists between You and TRAPAY, that NDA may supplement these terms. If there is any conflict, TRAPAY may specify which document prevails for the relevant disclosure.

15. Governing Law

These Confidentiality Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction, except that TRAPAY may seek injunctive or protective relief in any competent jurisdiction where misuse or disclosure occurs or is threatened.
